1. INTRODUCTION
These Terms and Conditions govern the access and use of the Réseau+ digital platform (web and mobile applications) by users in the Democratic Republic of Congo (DRC). The platform is managed and operated by Proco & Cie, a registered business entity and authorized Vodacom airtime and bundles super dealer. The platform offers three classes of users: Dealers, Merchants and Customers. By using Réseau+, you agree to comply with and be bound by these Terms and Conditions, which may be updated periodically by Proco & Cie.
2. DEFINITIONS
Customer: A user of Réseau+ platform but has no commercial/ financial gains.
Merchant: A user with equal access rights like those of a customer and with no application user license, but commercially benefits by direct and indirectly vending/ selling airtime and bundles.
Dealer: A user who has purchased a preloaded device or paid a license fee to access commercial features of the Réseau+ platform, including a 5 year data storage, analysis and computation.
License Fee: A one-time, non-refundable fee paid by a dealer to gain more commercial access to the business side of the Réseau+ platform. This fee supports ongoing system hosting, user data management, performance reporting and application upgrades.
Community/ Team: A group of Merchants and dealers personally recruited by a dealer, extending to 8 levels deep, forming their salesforce/ team or community.
Commission: An amount earned based on successful sales attributed to a merchant/ dealer or their community/ Team.
Monthly Activity: A dealer must cumulatively load at least USD $10 worth of airtime or bundles in a calendar month to qualify for rank retention and commission eligibility, where a merchant must load or sell above USD $10.
3. LICENSE FEE TERMS
1. The Réseau+ License Fee is a non-refundable, one-time payment, valid for a term of five (5) years from the date of account activation.
2. This License Fee is mandatory for all dealers and must be paid in full before access is granted to the full business platform.

4. Commissions are fully handed over to Merchants and dealers. Proco & Cie relies on Vodacom performance targets being met in order to qualify for backend incentives. In the event that these targets are not met, Proco & Cie will not earn backend revenue, making the License Fee critical for sustaining the platform.
5. Dealers acknowledge that failure to meet monthly activity requirements or withdrawal from the platform does not warrant a refund of the License Fee under any circumstances.
4. REGISTRATION & ACCOUNT ACTIVATION
1. Users may register through the Réseau+ Mobile / web application, USSD interface.
2. All dealers must pay the License Fee and undergo account verification.
3. Accurate entry of contact, payment and introducer details is the user’s responsibility.
4. Misleading referrals, misrepresentation or registration of users without their consent is prohibited and may lead to disqualification and or account termination or deactivation.

Dealers must maintain monthly activity (sale/purchase) of USD $10 in airtime or bundles to retain their rank and associated commission rights.
6. COMMISSION POLICY
1. Commission earnings are based on the official Réseau+ compensation plan, published by Proco & Cie.
2. Weekly and monthly payouts are made via M-Pesa transfers. Schedules may vary.
3. A Dealer must meet the USD $10 monthly loading requirement to qualify for commission on both direct and indirect sales.
4. Commissions are subject to change based on Vodacom changes, policy updates, regulatory changes or operational strategy.
5. Each Dealer is individually responsible for declaring and remitting applicable taxes on earned commissions, in accordance with DRC law.
7. CODE OF CONDUCT
1. Dealers must maintain professional conduct at all times.
2. Cross-lining / recruiting or poaching from other Dealers’ teams is strictly prohibited.
3. False claims regarding income potential, platform ownership or endorsements are not allowed.
4. Dealers must not use unauthorized promotional content.
5. All advertising using Réseau+, Vodacash, Mpesa or Vodacom branding must receive written approval.
8. ACCOUNT SUSPENSION & TERMINATION
1. Accounts may be deactivated/ suspended or permanently closed for violations including but not limited to fraud, inactivity or breach of terms.
2. Proco & Cie reserves the right to investigate suspicious activities and freeze commissions pending resolution.
3. Users may request voluntary deactivation by providing a written request.
4. Termination of a dealer account does not qualify the dealer/ user for refund of the License Fee or retroactive commission payments.
9. BRANDING, PROMOTION & INDEPENDENCE
1. Dealers and Merchants operate as independent business owners and are not agents / employees of Proco & Cie.
2. Costs related to local marketing, recruitment or community building are the sole responsibility of the Dealers.
3. Proco & Cie is not obligated to provide physical materials or financial support for local promotional activities, but shall provide on its volition.
10. LIMITATION OF LIABILITY
1. Proco & Cie disclaims responsibility for technical failures, network interruptions, mobile money service downtime or Merchants and Dealers-specific issues.
2. Proco & Cie and the Réseau+ platform do not guarantee specific income outcomes. All earnings are performance-based.
3. Proco & Cie is not liable for user business decisions, including those leading to opportunity costs or business transition.
11. TERMS MODIFICATION & GOVERNING LAW
1. These Terms and Conditions are subject to periodic updates. Any changes will be published on the Réseau+ web application (réseauplus.com) or communicated through official channels.
2. Continued use of the Réseau+ platform after changes implies acceptance of the new terms and conditions.
3. These Terms are governed by the laws of the Democratic Republic of Congo. All legal disputes shall be resolved in the jurisdiction of Kinshasa courts.
By registering on and using the Réseau+ platform, users confirm they have read, understood and agree to abide by these Terms and Conditions.
